Cancellation Policy

1. Scope
This Cancellation Policy applies to all paid service engagements between Cognimit Technologies LLP ("we," "our," or "us") and its clients ("you" or "Client"). It should be read in conjunction with our Terms of Service, our Refund Policy, and any applicable Statement of Work (SOW) or service agreement.
2. Cancellation by Client
2.1 Written Notice
The Client may cancel a service engagement by providing written notice to support@cognimit.com or in writing to our registered address.
2.2 Cancellation Before Work Begins
If cancellation occurs before any work has commenced and within 48 hours of agreement signing, the Client is entitled to a full refund of any advance payment, minus any non-refundable consultation fees explicitly stated in the SOW, as detailed in our Refund Policy.
2.3 Cancellation After Work Begins
If cancellation occurs after work has commenced:
- The Client shall pay for all work completed up to the date of cancellation.
- Any advance payment exceeding the value of completed work will be evaluated per our Refund Policy.
- If the value of completed work exceeds the advance payment, the Client shall pay the difference within 15 days.
2.4 Notice Period
Unless otherwise agreed in the SOW, a minimum of 15 days' written notice is required for cancellation of ongoing or retainer-based engagements.
3. Cancellation by Cognimit
3.1 Grounds for Cancellation
We may cancel an engagement if:
- The Client fails to make payments within 30 days of the due date.
- The Client materially breaches the Terms of Service or SOW.
- The Client fails to provide necessary information, access, or cooperation for more than 30 days.
- Continuing the engagement would require us to violate applicable law or professional standards.
3.2 Consequences of Cancellation by Cognimit
Upon cancellation by Cognimit, we will:
- Provide written notice specifying the reason.
- Deliver all completed work product (upon payment for completed work).
- Refund any advance payment for work not yet performed, subject to our Refund Policy.
4. Project Pause and Resumption
4.1 Pause Request
If the Client wishes to pause rather than cancel, they must notify us in writing. Projects may be paused for a maximum of 60 days.
4.2 Automatic Cancellation
After 60 days of inactivity, the project will be considered cancelled, and standard cancellation terms will apply.
4.3 Resumption
Resumption of a paused project is subject to team availability and may require a revised SOW and timeline.
5. Dispute Resolution
5.1 Filing a Dispute
If you disagree with a cancellation decision, please email support@cognimit.com with the subject line "Cancellation Dispute — [Project Name]".
5.2 Response Timeline
We will acknowledge your dispute within 3 business days and aim to resolve it within 15 business days.
5.3 Escalation
If the dispute cannot be resolved through negotiation, it shall be governed by the dispute resolution provisions in our Terms of Service, including arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ahmedabad, Gujarat, India.
